What exactly is your definition of an overrated/underrated show?
Overrated
The show is popular or appreciated?
The show is bad, but alot of people have heard from or liked it?
Or the show gets more credit than it deserves?
Underrated
The show is unpopular or unappreciated?
The show is good, but only a few to none have heard from or liked it?
Or the show gets less credit than it deserves?

Not such a dumb question! :)
To me, an overrated show is one that gets more credit than it deserves, and conversely, an underrated show is one that gets less credit than it deserves.

Here are my definitions of the two terms:
Overrated:
1/3 "The show is bad, but alot of people have heard from or liked it" and
2/3 "the show gets more credit than it deserves"
Underrated:
1/3 "The show is good, but only a few to none have heard from or liked it" and
2/3 "the show gets less credit than it deserves"

Overrated is usually to me, a popular show that's bad and gets a lot of airtime, talk, and fans, and more credit then it deserves.
Underrated is a rare/rarely talked about show that is very good, or a show that most people put down but is actually good.

After pondering the topic further, I'd just like to add one more thing.
I think on the matter of overrated vs. underrated, it can be subject to much personal opinion. While there are some shows that most people could agree on in either category, there will always be a few holdouts who speak to the contrary. So bearing that in mind, I'm not sure if there could ever be one definitive answer to this question.

When I was going to give my definition and I saw yours, you said exactly my feelings on the topic, so I would agree with your definition.
I was going to go a step further, and give an example of each (overrated and underrated), but then also, I got to thinking, it is a very subjective matter because a lot of it is based on personal tastes. One person's overrated is another's underrated--and vice versa.
